- Extensive experience drafting and negotiating complex, multi-million dollar, global service and licensing agreements with some of the largest corporations in the world, including HSBC Holdings, Bank of America, Lloyds Banking Group, UBS, AG, Wespac Banking Corp, JP Morgan Chase & Co., Apple Computers, Facebook, Micosoft Corp, and Disney Worldwide Services
- Drafted and negotiated a $6,000,000/year services contract with General Electric Company whereby client would provide all internet connectivity and access worldwide for GE. Structured transaction in a tiered manner enabling contract to conform to client’s revenue recognition policy.
- Drafted and negotiated multi-million dollar strategic partnership with AT&T for AT&T to resell secure Internet connectivity services.
- Drafted and negotiated a professional services agreement with a Big Four accounting firm whereby the firm would provide professional services to client. Assured client owned the necessary intellectual property resulting from the services, contrary to the Big Four’ typical business practices.
- International experience in advising US clients regarding personal privacy laws in the EU and UK such as the EU-US Privacy Shield and the European Union Standard Contractual Clauses for Personal Data Transfer.
Employment Law, Risk Management and Controls
Debbie can work with your management team to evaluate and manage all areas of potential legal risk, including employment, intellectual property and operations in order to protect company assets and mitigate risk.
Achievements include:
- Reduced client risk and exposure by drafting, implementing and enforcing company-wide policies and procedures including protection of intellectual property, use of confidentiality agreements, hiring and employment policies. Provides training on policies and procedures at staff meetings for sales, marketing and human resources departments to assure understanding and use of policies.
- Drafted and implemented policies and procedures on hiring, terminations, background checks, use of independent contractors, and anti-harassment to ensure compliance with federal and state laws and any customer contracts.
- Took lead role in investigating all material employee disputes, often in emotionally fueled conditions with severe time constraints to reduce company liability and exposure.
